## 1. Permission Grant

Subject to the terms below, permission is hereby granted to any individual or organization (“User”) to:

- Use the Software for **non-commercial academic research purposes**  
- Modify the Software for internal research use  
- Publish research results obtained using the Software  
- Share modifications **only** with other licensed researchers

This License does **not** permit commercial use of the Software.

## 2. Restrictions

The following actions are **strictly prohibited** without prior written permission from the Copyright Holder:

1. **Commercial Use** of any kind.  
2. **Distribution**, **publication**, or **hosting** of the Software or derivative works outside academic/research environments.  
3. Use of the Software as part of a **commercial service**, **product**, **consulting**, **paid project**, or **industrial research**.  
4. Use within any entity whose primary purpose is commercial, unless the research use is:  
   - Non-profit in nature, and  
   - Not tied to any commercial activity.

“Commercial Use” means **any use intended for, or resulting in, commercial advantage, monetary compensation, or organizational benefit**, including but not limited to:

- Integration into a product, prototype, or service  
- Internal R&D at a company  
- Use that contributes directly or indirectly to commercial goals

Any academic publication, technical report, or presentation using the Software must include a clear citation.

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.  
THE COPYRIGHT HOLDER SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM THE USE OF THE SOFTWARE.

This License is automatically terminated if the User violates any term of this License.  
Upon termination, the User must destroy all copies of the Software.
